Acceptance of Terms & Authority
By subscribing to an async retainer, booking a fixed-scope sprint, or submitting requests through the Stainless Studio portal, you ("Customer" or "Founder") agree to be legally bound by these Terms of Service.
If you are entering into this Agreement on behalf of an enterprise, organization, or legal entity, you represent and warrant that you possess the full legal authority to bind that entity to these provisions.
100% Code & Intellectual Property Ownership
You retain unencumbered 100% ownership of all deliverables and code:
- Direct Repository Commits: All TypeScript, Next.js, React, Supabase schemas, and Cloudflare workers pushed to your private GitHub organization belong exclusively to you from day one.
- Design Tokens & Assets: All Figma components, 3D assets, and spatial design systems remain your exclusive confidential property. Stainless Studio asserts zero copyright or royalty claims.
- No Proprietary Lock-In: All code is standard, vanilla, open-source compliant software without hidden runtime dependencies.
Delivery Velocity & The Pause Credit Vault
Stainless Studio operates on a 48-hour vertical slicing cadence. Retainer clients may pause subscriptions at any time; remaining unused days in the active 31-day cycle are banked indefinitely as non-expiring Founder Credits.
Service Level Agreement (SLA) & Credit Schedule
For active retainer plans, Stainless Studio guarantees sprint velocity and milestone adherence. If service deliverables fail to meet specified quality or SLA thresholds, clients are eligible for service credits:

Subscriptions, Fees & Refund Policy
Paid subscriptions and fixed-scope sprint packages are billed in advance on a recurring monthly or sprint billing cycle. You may pause or cancel your subscription at any time through the web console; remaining cycle days are preserved in your Pause Credit Vault indefinitely.
Retainer subscriptions and sprint purchases are eligible for a 100% money-back refund within 14 calendar days of payment strictly and only if the Customer has not placed, created, or submitted any ticket (aka a card in Kanban, backlog request, or sprint task) into the engineering queue.
Once any card, task, or ticket has been submitted to the engineering pipeline, dedicated engineering allocation is immediately committed and fees become non-refundable. Unused days on active plans remain 100% protected and can be paused into your Pause Credit Vault at any time without forfeiture.
Acceptable Use Policy (AUP)
You agree not to use Stainless Studio services to build malicious software, conduct denial-of-service attacks, bypass authorization mechanisms, or infringe on third-party intellectual property rights.
Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Stainless Studio LLC be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages arising out of or in connection with your use of the service.
